Service terms - launch draft
A practical service-terms framework for DPP data-preparation work. Legal identity and governing-law fields remain placeholders and must be completed before contracting.
1. Service scope
The agreed statement of work, quotation or written scope defines the products, files, deliverables, assumptions, exclusions, schedule and price. Work outside that scope requires agreement before it is performed.
2. Nature of the service
DPPPrep provides technical/product-data preparation, mapping, source traceability, gap identification and implementation-handover support. It is not a notified body, legal adviser, certification authority or conformity-assessment body unless explicitly agreed through a separately qualified provider.
3. Client source information
The client remains responsible for the accuracy and legality of source information supplied. DPPPrep may flag inconsistencies, missing evidence or values requiring verification but does not guarantee that client or supplier source data is correct.
4. Missing or unsupported values
DPPPrep will not knowingly invent missing compliance values. Unsupported information may be marked Missing, Verify, Not applicable or similar depending on the agreed working method.
5. Confidentiality
Confidential information should be limited to what is necessary for the project. A separate NDA can be agreed. Project-specific retention or deletion arrangements can be documented in writing.
6. Payment and delivery
Price, payment timing and delivery target are defined in the accepted quotation or statement of work. Delivery dates may depend on timely client/supplier inputs.
7. Changes of scope
Material additions to products, requirements, source files or deliverables may require a revised price or delivery date.
8. Intellectual property and client data
The client retains ownership of its source data and documents. Unless otherwise agreed, DPPPrep retains its generic methods, templates and know-how while granting the client the right to use the project deliverables for its business purposes.
9. Liability
A legally reviewed limitation of liability must be inserted for the actual contracting entity and jurisdiction. DPPPrep deliverables are preparation aids and do not replace the client's responsibility to comply with applicable law.
10. Termination
Termination rights, work-in-progress treatment and outstanding fees should be stated in the accepted commercial terms.
